1.2.Marketplace – the MONTFIX online marketplace (https://montfix.lt), its mobile apps and related interfaces through which buyers buy goods from sellers.
1.3.Seller – the business named in the Special Terms that offers and sells goods on the Marketplace in its own name.
1.4.Buyer – a natural person (consumer) or a legal person or other business (business buyer) buying goods on the Marketplace.
1.5.Offer – the Seller's terms for selling an item as published on the Marketplace: the item, price, stock, delivery time and methods and other terms.
1.6.Seller account – the Seller's workspace on the Marketplace (seller portal) where it manages offers, orders, payouts and documents.
1.7.Business hours – 8:00 to 17:00 Lithuanian time on business days; business days – Monday to Friday except public holidays in the Republic of Lithuania.
1.8.Agreement – the documents listed in clause 1.2 of the Special Terms, together.
2. Subject and scope
2.1.These General Terms set out how the Seller uses the Marketplace's intermediation services and are the Operator's terms and conditions within the meaning of Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services (the P2B Regulation).
2.2.The Seller sells goods in its own name; the Operator is not the seller of the goods and not a party to the sales contract. The Operator acts as the Seller's commercial agent under the Commercial Agency Agreement.
2.3.The terms are drafted in plain and intelligible language and are available free of charge in the Seller account and before the Agreement is concluded.
3. Seller account and verification (KYB)
3.1.Before it starts selling, the Seller provides and keeps up to date: its legal name, company code, VAT number (if any), registered address, tax identification number and the state that issued it, beneficial owner details, bank account, contact person and trader declaration.
3.2.The Operator checks these details against public registers (the Lithuanian Register of Legal Entities, VIES) and the bank account holder's name. The Operator may ask for further documents and may withhold selling until the check is complete.
3.3.The Seller's details required for trader traceability (Article 30 of Regulation (EU) 2022/2065, the Digital Services Act) are shown to buyers next to the offers and on the Seller's page.
3.4.As a platform operator under Directive (EU) 2021/514 (DAC7) and Lithuanian tax administration law, the Operator reports the Seller's details and sales to the tax authority every year and informs the Seller.
3.5.The Seller is responsible for the security of its log-in details, enables two-factor authentication for owner accounts and reports any unauthorised access without delay.
4. Offers, content and licence
4.1.The Seller ensures that offers, product descriptions, images, technical data, certificates and instructions are correct, complete, lawful and do not infringe third-party rights.
4.2.The Seller grants the Operator a non-exclusive, royalty-free, worldwide licence, for the term of the Agreement and 12 months after it, to use, reproduce, adapt, translate and publish the content the Seller provides on the Marketplace, in search engines, in advertising and in buyers' documents, as far as needed to run the Marketplace and sell the Seller's goods.
4.3.Where content approved by the brand owner or the Operator exists for an item, the product page may show that content and the Seller's content as additional information.
4.4.Stock and prices are updated by data feeds or in the Seller account; the Seller ensures that the stock shown on the Marketplace is accurate.
5. Prices and promotions
5.1.Only the Seller sets prices, discounts and promotion terms. The Operator does not change them, except for obvious technical errors which it reports to the Seller at once.
5.2.Prices are shown to buyers in euro including all taxes; the Marketplace may also show prices excluding VAT to business buyers.
5.3.When announcing a price reduction the Seller states the prior price, being the lowest price applied in the 30 days before the reduction (Directive (EU) 2019/2161 and Lithuanian consumer protection law). The Marketplace computes this price from the Seller's price history.
6. Orders and confirmation
6.1.When a buyer places and pays for an order, the Operator concludes the sales contract in the Seller's name on the Seller's offer and notifies the Seller.
6.2.The Seller confirms or rejects the order within 4 business hours. If the order is not confirmed in time the Operator may, with the buyer's consent, fulfil it with another seller offering the same item, or cancel it and refund the buyer. Late confirmations and rejections affect the Seller's rating.
6.3.The Seller may reject an order only for objective reasons (out of stock, obvious price error, suspected fraud) and states the reason.
7. Delivery
7.1.The Seller dispatches within the time stated in the offer or, if none is stated, within 2 business days after confirmation, using the delivery method chosen on the Marketplace, and uploads the tracking number.
7.2.The Seller packs goods properly and bears the risk of loss or damage until the goods are handed to the buyer, unless the law provides otherwise.
7.3.Detailed requirements are set out in the Delivery and Service Level Rules.
8. Returns, conformity, warranty and complaints
8.1.The Seller is liable to the buyer for conformity with the contract, the statutory and any commercial guarantee, the consumer's right to withdraw from a distance contract within 14 days and the handling of complaints.
8.2.The Operator runs the returns process and buyer enquiries on the Marketplace, forwards them to the Seller and may refund the buyer in the Seller's name where the Seller does not give a justified refusal within the time set in the Delivery and Service Level Rules.
8.3.Where the Operator refunds a buyer for something the Seller is responsible for, the amount is set off against the Seller's payouts.
9. Consumer law and product safety
9.1.The Seller complies with consumer protection law: it provides the mandatory pre-contractual information, honours the right of withdrawal, applies the statutory guarantee and does not engage in unfair commercial practices.
9.2.As an economic operator the Seller complies with Regulation (EU) 2023/988 on general product safety (GPSR): the product page states the manufacturer (and, where applicable, the responsible person in the EU) with postal and electronic address, the product identifier, warnings and safety information in Lithuanian, the markings (CE etc.), and the Seller provides conformity documents on request.
9.3.The Seller informs the Operator without delay of any product recall or safety warning. On an authority's order the Operator removes the offer of an unsafe product within 2 working days and informs the buyers who bought it on the Marketplace.
9.4.Counterfeit, prohibited, unlicensed hazardous or otherwise unlawful goods must not be offered.
10. Fees, payments, payouts and set-off
10.1.The Seller pays the commission set out in the Fees Annex and the Special Terms and the prices of the services it chooses. The agent's remuneration under the Commercial Agency Agreement is part of the commission and is not charged separately.
10.2.The Operator receives buyers' payments in the Seller's name into the seller-funds account. Funds are held until the consumer withdrawal period ends (14 days after delivery) and, for business buyers' orders, for 3 days after delivery.
10.3.Payouts are made on the 5th and 20th of each month to the Seller's verified bank account. A payout includes the funds whose holding period ended at least 2 business days before the payout day.
10.4.The Operator sets off against payouts its commission, service and advertising fees, refunds made to buyers, chargeback amounts and any other amounts the Seller owes the Operator (set-off under Article 6.130 of the Civil Code of the Republic of Lithuania). If a payout is not enough, the Seller pays the balance within 14 days of the invoice.
10.5.The Operator may withhold a payout for up to 90 days where there is a reasonable risk of fraud, an unusual level of returns or chargebacks, or a breach of law; the reason is shown in the Seller account.
10.6.No VAT charged — Arena Media Sp. z o.o. is not registered for VAT. The Seller declares and pays the taxes on its own sales.
11. Chargebacks
11.1.If a buyer or its bank disputes a card payment (chargeback), the Operator informs the Seller and submits the Seller's evidence (order confirmation, tracking, proof of delivery) within the scheme's deadline.
11.2.If the dispute is decided in the buyer's favour, the disputed amount and the payment provider's dispute fee are set off against the Seller's payouts, unless the dispute arose through the Operator's fault.
12. Promotions and advertising
12.1.The Seller may join promotions organised by the Operator and buy advertising services at the prices published in the Seller account. Participation is voluntary; the Seller sets the promotion prices.
12.2.Paid placements on the Marketplace are clearly labelled "Advertising" ("Reklama") and identify the advertiser.
13. Ranking
13.1.How offers are ordered and the main ranking parameters are described in the Ranking and Transparency Statement (Article 5 of the P2B Regulation), which is also published on the Marketplace.
13.2.The Seller cannot pay, directly or indirectly, for a better ranking position, except for clearly labelled advertising.
14. Reviews
14.1.Only buyers who bought an item on the Marketplace can review the Seller and the item. The Operator checks that a review comes from a real buyer and does not publish reviews that are abusive, unlawful or unrelated to the purchase.
14.2.The Seller must not solicit or buy reviews, offer benefits for positive reviews or post fake reviews. The Seller may reply to a review publicly.
15. Illegal content
15.1.Anyone can notify the Operator of illegal content through the Marketplace notice form (Article 16 of the Digital Services Act). The Operator handles notices in a timely, diligent and objective manner.
15.2.When it removes or restricts the Seller's content, the Operator gives the Seller a statement of reasons (Article 17 of the Digital Services Act) and the available means of redress.
16. Restriction, suspension and termination
16.1.The Operator may restrict or suspend individual offers or the whole Seller account if the Seller breaches the Agreement or the law, fails to provide KYB data, endangers buyers or the Marketplace, or a competent authority so requires. Before or at the time the restriction or suspension takes effect the Operator gives a statement of reasons on a durable medium (Article 4(1) of the P2B Regulation).
16.2.The Operator may terminate the Agreement with at least 30 days' notice stating its reasons (Article 4(2) of the P2B Regulation). No notice period applies where the Operator must stop the service under the law or an authority's order, where the Seller has repeatedly breached the Agreement, or where fraud or a risk to buyers is reasonably suspected; the reasons are then given without delay.
16.3.The Seller may clarify the facts and challenge the decision through the internal complaint-handling system (section 17). If the decision is reversed the Operator restores the Seller account and offers without delay.
16.4.The Seller may terminate the Agreement at any time with at least 30 days' written notice. Termination does not release the parties from obligations under sales contracts already concluded, returns and settlements.
17. Complaints and mediation
17.1.The Seller may complain free of charge about the Operator's actions, technical issues or decisions by e-mail to [email protected] or in the Seller account. The Operator considers the complaint and answers within 14 days (Article 11 of the P2B Regulation). The Operator publishes information on its complaint handling every year.
17.2.For out-of-court settlement the Operator names these mediators (Article 12 of the P2B Regulation): Vilnius Court of Commercial Arbitration (mediation services), www.arbitrazas.lt; Lithuanian Court of Commercial Arbitration (mediation services), www.arbitrazoteismas.lt. The Operator engages in mediation in good faith and bears a reasonable share of its costs. Mediation does not limit the right to go to court.
18. Liability
18.1.Each party is liable for direct losses caused by its breach of the Agreement.
18.2.The Operator's total liability under the Agreement is limited to the commission and service fees the Seller paid in the 12 months before the damage occurred, and the Operator is not liable for loss of profit or indirect loss. These limits do not apply to damage caused intentionally or by gross negligence, nor to paying out money received in the Seller's name.
18.3.The Seller indemnifies the Operator against damage and costs arising from claims of third parties or authorities that result from the Seller's goods, content or breaches of law.
18.4.Neither party is liable for failure to perform due to force majeure.
19. Confidentiality
19.1.The parties keep each other's confidential information (commercial terms, buyers' data, technical access) confidential and use it only to perform the Agreement. This duty continues for 3 years after the Agreement ends.
20. Intellectual property
20.1.The Marketplace, its software, design and the MONTFIX trade marks belong to the Operator. The Seller may use the MONTFIX mark only to state that it sells on the Marketplace, following the Operator's guidelines.
20.2.The Seller's trade marks and content remain the Seller's; the licence is granted to the extent set out in clause 4.2.
21. Access to data
21.1.In its account the Seller sees and can export the data on its offers, orders, returns, ratings and payouts. Buyers' personal data are made available to the Seller only as needed for fulfilment, invoicing and warranty (Data Processing Agreement).
21.2.The Operator uses aggregated Marketplace data to improve its services and analyse demand; it does not disclose the Seller's confidential data to other sellers (Article 9 of the P2B Regulation).
22. Changes to the terms
22.1.The Operator notifies the Seller of changes to these terms or other documents of the Agreement on a durable medium at least 30 days in advance (Article 3(2) of the P2B Regulation). Until the changes take effect the Seller may terminate the Agreement free of charge.
22.2.Changes may take effect earlier where required by law or an authority, or where an immediate response to a security threat or fraud is necessary.
22.3.The same procedure applies to price changes. Changes in the Seller's favour (e.g. a lower commission) may take effect immediately.
23. Final provisions
23.1.The Agreement is governed by the law of the Republic of Lithuania. Disputes are settled by the courts of the Republic of Lithuania in Vilnius having subject-matter jurisdiction. Consumers keep the rights given by the mandatory law of their place of residence.
23.2.Notices are sent by e-mail and through the Seller account; a notice is deemed received on the business day after it is sent.
23.3.The Seller may not assign its rights under the Agreement without the Operator's consent. The Operator may assign the Agreement to its successor or an affiliated company after notifying the Seller.
23.4.If any provision is found invalid, the other provisions remain in force.
23.5.These terms are drafted in Lithuanian; in case of discrepancy with a translation the Lithuanian text prevails.
